1. DEFINITIONS

The following terms shall have the meanings ascribed to them below throughout this Agreement:

2. ACCEPTANCE OF TERMS AND FORMATION OF CONTRACT

2.1 By clicking "I Agree," "Accept," "Register," or "Sign Up," or by accessing or using any part of the Platform, you represent that:

You have read, understood, and agree to be bound by these Terms in their entirety;

You are at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is higher;

If accepting on behalf of a legal entity, you have full authority to bind that entity;

Your acceptance constitutes an electronic record under Section 2(t) of the IT Act, 2000 and Rule 3 of the IT (Electronic Service Delivery) Rules, 2011; and

Your acceptance constitutes a valid and enforceable contract under the Indian Contract Act, 1872.

2.2 These Terms are published in accordance with Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and shall be deemed communicated and accepted upon first use.

2.3 The Company reserves the right to amend these Terms at any time. Continued use of the Platform following notification of any amendment constitutes acceptance of the revised Terms.

3. DESCRIPTION OF SERVICES

3.1 The Platform provides AI-powered Speech Intelligence Services including but not limited to:

Automatic Speech Recognition (ASR) and real-time transcription in Indian and international languages;

Speaker diarization and voice biometrics;

Sentiment and emotion analysis of spoken content;

Voice cloning and synthetic speech generation;

Natural language processing on transcribed text;

Integration APIs and SDKs for third-party enterprise deployment; and

Custom model fine-tuning and enterprise speech solutions.

3.2 The Company may introduce, modify, suspend, or discontinue any feature at its sole discretion, subject to applicable consumer protection obligations.

3.3 Certain Services may be governed by additional agreements, fair-use policies, or service-level agreements communicated separately at onboarding.

4. USER OBLIGATIONS AND REPRESENTATIONS

4.1 The User agrees and undertakes to:

Use the Platform solely for lawful purposes and in accordance with Applicable Law;

Provide accurate, current, and complete registration information and promptly update any changes;

Maintain the confidentiality of your account credentials and be solely responsible for all activities under your account;

Immediately notify the Company of any unauthorised use of your account or breach of security;

Obtain all necessary consents, licences, and permissions before uploading or processing any User Content involving third parties;

Comply with all applicable data protection laws before processing any Personal Data of third persons via the Platform; and

Not use automated tools, bots, scrapers, or mass extraction tools against the Platform without prior written consent.

4.2 The User represents and warrants that:

All User Content is either owned by the User or the User has obtained all required rights, licences, and consents; and

Processing such User Content on the Platform will not violate any third-party rights including privacy, publicity, or Intellectual Property rights.

5. INTELLECTUAL PROPERTY RIGHTS

5.1 Company's Intellectual Property

The Platform and all software, algorithms, AI/ML models, APIs, source code, databases, interface designs, graphical elements, trademarks, service marks, logos (including the "SARVBOL" wordmark and the sarvbol.ai domain), trade names, and trade secrets are the exclusive property of DeepMindSecure Technologies Private Limited, protected under:

The Copyright Act, 1957, including Sections 13, 14, and 51 (infringement of copyright);

The Trade Marks Act, 1999, including Sections 28 (rights conferred) and 29 (infringement);

The Patents Act, 1970 (as amended) for any patented or patent-pending inventions;

The Information Technology Act, 2000 for source code and software protection; and

Applicable international treaties including the Berne Convention, the TRIPS Agreement, and the WIPO Copyright Treaty.

5.2 Restricted Licence

Subject to full compliance with these Terms, the Company grants the User a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence solely to access and use the Platform for the User's own internal purposes. This licence expressly excludes the right to:

Copy, reproduce, distribute, publish, or create derivative works of any part of the Platform;

Reverse engineer, decompile, disassemble, or extract source code from any software forming part of the Platform;

Remove or alter any proprietary notices, labels, or marks on or in the Platform;

Use the Company's trademarks, logos, or brand features without prior written consent; or

Register any domain name, handle, or entity name confusingly similar to "SARVBOL," "sarvbol.ai," or "DeepMindSecure."

5.3 User Content Licence

By uploading User Content, the User grants the Company a worldwide, royalty-free, non-exclusive licence to process, transmit, store, and use such content solely to the extent necessary to provide the Services. The User retains all ownership rights in User Content.

5.4 Copyright Infringement Complaints

If you believe content on the Platform infringes your copyright under the Copyright Act, 1957, submit a written complaint to the Grievance Officer containing: (a) identification of the copyrighted work; (b) identification of the infringing material and its location; (c) your contact information; (d) a declaration of good faith belief; and (e) a declaration of accuracy. Valid complaints will be actioned within the timelines prescribed under Applicable Law.

6. DATA PROTECTION AND DIGITAL PERSONAL DATA

6.1 Compliance with the DPDP Act, 2023

The Company acts as a Data Fiduciary under the Digital Personal Data Protection Act, 2023 ("DPDP Act"). The Company shall:

Process Personal Data only for lawful purposes with valid Consent from the Data Principal;

Implement appropriate technical and organisational security measures;

Not retain Personal Data beyond the period necessary for the stated purpose;

Honour all Data Principal rights under Sections 11–14 of the DPDP Act including rights to access, correct, erase, and withdraw consent; and

Report Personal Data breaches to the Data Protection Board of India under Section 8(6) of the DPDP Act.

6.2 User's Independent Data Protection Obligations

Where a User uploads or processes Personal Data of third parties via the Platform, the User acknowledges and agrees that:

The User is independently responsible for ensuring a valid legal basis exists for such processing;

The User shall comply with all obligations of a Data Fiduciary or Processor under the DPDP Act applicable to their activities;

The Company shall not be liable for any DPDP violation arising from the User's independent data processing;

The User shall indemnify the Company against all liability arising from the User's non-compliance with data protection law; and

Processing biometric or health-related voice data without explicit, specific consent of the Data Subject is strictly prohibited.

6.3 Voice Data — Special Category

The User acknowledges that voice and speech data may constitute Sensitive Personal Data under Applicable Law. The User warrants that all voice data uploaded has been collected with the free, prior, and informed consent of the individual to whom it belongs, specifically covering AI processing.

6.4 Cross-Border Data Transfers

Personal Data shall not be transferred outside India except to countries or territories notified by the Central Government under Section 16 of the DPDP Act. Any cross-border data processing via the Platform must be pre-authorised by the Company.

7. PROHIBITED USES AND ACTIVITIES

7.1 The following uses are strictly and absolutely prohibited. Violation constitutes a material breach of these Terms and may additionally constitute a criminal offence:

7.1.1 Criminal and Cyber Offences (IT Act, 2000 and BNS, 2023)

Uploading obscene, pornographic, or child sexual abuse material in violation of the POCSO Act, 2012 and Section 292 BNS;

Committing or facilitating any offence under the Bharatiya Nyaya Sanhita, 2023;

Gaining or attempting to gain unauthorised access to any part of the Platform, its servers, or databases, contravening Sections 43 and 66 of the IT Act;

Introducing viruses, trojans, ransomware, spyware, or malicious code in violation of Sections 43(c) and 66(B) of the IT Act;

Conducting or facilitating Denial of Service (DoS) or Distributed Denial of Service (DDoS) attacks under Section 43(f) and Section 66 of the IT Act;

Identity theft or impersonation of any person or entity in violation of Section 66C of the IT Act and Section 319 of the BNS;

Phishing or any scheme to fraudulently obtain credentials, payment information, or Personal Data, contravening Section 66D of the IT Act;

Transmitting messages that are grossly offensive, menacing, or known to be false, in violation of Section 67 of the IT Act and Section 351 of the BNS;

Cyber-stalking or harassment using voice or speech data in violation of Section 77B of the IT Act and Section 78 of the BNS;

7.1.2 Deepfake, Voice Cloning, and Synthetic Media

Using Voice Cloning or Speech Synthesis features to impersonate, defame, harass, defraud, or malign any individual without their express written consent;

Creating synthetic audio or video that falsely portrays a person committing an offence — constituting defamation under Section 356 of the BNS and potentially under Section 66E of the IT Act;

Creating deepfake audio of public figures, government officials, or judicial officers to mislead, incite violence, or undermine constitutional institutions under Sections 152 and 196 of the BNS;

Generating non-consensual intimate audio content using voice cloning features in violation of Sections 66E and 67A of the IT Act;

7.1.3 Intellectual Property Violations

Reproducing or distributing any copyrighted audio, musical composition, broadcast, or sound recording without a valid licence, in violation of Section 51 of the Copyright Act, 1957;

Circumventing any technological protection measures applied by rights holders, in violation of Section 65A of the Copyright Act, 1957;

Uploading content that infringes any third-party trademark or trade dress rights under the Trade Marks Act, 1999;

Using the Company's proprietary AI models or transcription outputs to train competing AI models or services without written authorisation;

7.1.4 Terrorism, Incitement, and Hate Speech

Using the Platform to record, process, or generate speech promoting terrorism, sectarian violence, or insurrection, in violation of UAPA, 1967;

Generating content promoting enmity between groups on grounds of religion, race, birth, language, caste, or community, in violation of Section 196 of the BNS;

7.1.5 Fraud and Financial Crimes

Using the Platform in furtherance of cheating, fraud, or financial misrepresentation under Sections 316–318 of the BNS and the Prevention of Money Laundering Act, 2002;

Processing audio to fabricate evidence for any legal proceeding;

7.1.6 Platform Integrity

Reverse engineering or decompiling proprietary algorithms from the Platform;

Creating competing products or services by scraping Platform outputs;

Imposing disproportionate or unreasonable load on the Platform infrastructure;

Probing, scanning, or testing Platform vulnerabilities without prior written authorisation under Section 43(a) of the IT Act.

8. CRIMINAL LIABILITY AND LAW ENFORCEMENT COOPERATION

8.1 The User acknowledges that violations of Clause 7 may constitute criminal offences under:

Bharatiya Nyaya Sanhita, 2023 — defamation, fraud, cheating, criminal intimidation, offences against the State;

Information Technology Act, 2000 (Sections 43, 66, 66B, 66C, 66D, 66E, 66F, 67, 67A, 67B, 70);

Copyright Act, 1957 (Sections 63, 64, 65, 65A, 65B);

Trade Marks Act, 1999 (Sections 103–107);

Unlawful Activities (Prevention) Act, 1967 (UAPA);

Protection of Children from Sexual Offences Act, 2012 (POCSO);

Digital Personal Data Protection Act, 2023 (Chapter VIII penalties).

8.2 The Company reserves the right to:

Immediately suspend or permanently terminate the User's access upon reasonable belief of a violation;

Preserve and hand over User data, logs, IP addresses, and session information to law enforcement agencies, courts, or regulatory bodies upon valid legal order, or where the Company has reasonable grounds to believe a criminal offence has been or is being committed;

Disclose User information to prevent imminent bodily harm, death, or property damage per Section 79 of the IT Act read with the IT (Intermediary Guidelines) Rules, 2021;

Initiate civil proceedings for injunctive relief, damages, account of profits, or other remedies under law;

Lodge an FIR or complaint before the appropriate law enforcement agency, cybercrime cell, or regulatory authority; and

Apply to the Adjudicating Officer under Section 46 of the IT Act for compensation for damage to the Company's computer resources.

8.3 The User consents to the exclusive jurisdiction of courts at Gautam Buddha Nagar, Uttar Pradesh, India for any proceedings arising from these Terms.

9. INTERMEDIARY STATUS AND SAFE HARBOUR

9.1 The Company operates the Platform as an "Intermediary" under Section 2(1)(w) of the IT Act. The Company's liability for User Content is governed by Section 79 of the IT Act and Rule 3 of the IT (Intermediary Guidelines) Rules, 2021.

9.2 The Company's safe harbour protection is conditional upon compliance with due diligence obligations and is not available where the Company has actual knowledge of unlawful content and fails to remove it expeditiously, or conspires or aids in an unlawful act.

9.3 The Company does not exercise editorial control over User Content and takes down unlawful content only upon receipt of valid court orders or upon actual knowledge of unlawfulness established by a competent authority.

10. INDEMNIFICATION

10.1 The User agrees to defend, indemnify, and hold harmless the Company, its directors, officers, employees, agents, licensors, and successors from all claims, liabilities, damages, judgments, losses, costs, and fees (including legal fees) arising from:

Your violation of these Terms or any Applicable Law;

Your User Content or your use of any User Content;

Your infringement of any Intellectual Property or other right of a third party;

Your violation of any third party's privacy or data protection rights;

Any misrepresentation made by you;

Any criminal act committed by you using the Platform;

Any claim by a regulatory authority, law enforcement agency, or court arising from your use; and

Any tax, duty, or impost arising from your use of the Services.

10.2 The Company may assume exclusive control of any matter subject to indemnification, and you shall cooperate fully in asserting available defences.

11. DISCLAIMER OF WARRANTIES

11.1 THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

11.2 The Company does not warrant that: (a) the Platform will be error-free or uninterrupted; (b) speech recognition outputs will be accurate or complete; (c) results will be suitable for any legal, medical, or regulatory purpose; or (d) defects will be corrected.

11.3 AI-generated transcription and synthesis outputs may contain errors. Users must not rely solely on such outputs for legal, medical, financial, or safety-critical decisions without independent human verification.

11.4 The Company specifically disclaims any representation that its Services comply with evidentiary standards of any court under the Bharatiya Sakshya Adhiniyam, 2023.

12. LIMITATION OF LIABILITY

12.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL BE LIMITED TO THE GREATER OF: (A) THE TOTAL AMOUNTS PAID BY THE USER IN THE THREE (3) MONTHS PRECEDING THE CLAIM; OR (B) FIVE THOUSAND RUPEES (INR 5,000).

12.2 IN NO EVENT SHALL THE COMPANY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES INCLUDING LOSS OF PROFITS, GOODWILL, DATA, OR BUSINESS INTERRUPTION.

12.3 Nothing herein limits the Company's liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) liability that cannot be excluded under Applicable Law.

13. SUSPENSION AND TERMINATION

13.1 The Company may immediately suspend or terminate your access without notice if:

You breach any provision of these Terms;

Required to do so by law or a competent authority;

You engage in fraudulent, abusive, or illegal conduct; or

Your continued use poses a security, legal, or reputational risk.

13.2 Upon termination, your right to access the Platform immediately ceases. The Company may retain data to the extent required by law or legitimate business purposes.

13.3 Clauses 5, 6, 7, 8, 10, 11, 12, 14, 15, 16, and 17 shall survive termination indefinitely.

14. GOVERNING LAW AND DISPUTE RESOLUTION

14.1 These Terms are governed by the laws of the Republic of India.

14.2 Disputes shall first be referred to good-faith mediation. Parties shall endeavour resolution within thirty (30) days.

14.3 Unresolved disputes shall be submitted to arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator; seat and venue: Noida, Uttar Pradesh; language: English.

14.4 The Company may seek emergency or interim relief from any court of competent jurisdiction to protect its Intellectual Property or prevent imminent harm.

14.5 Subject to the arbitration clause, all disputes shall be subject to the exclusive jurisdiction of courts at Gautam Buddha Nagar, Uttar Pradesh, India.

15. STATUTORY COMPLIANCE DISCLOSURES

15.1 IT (Intermediary Guidelines) Rules, 2021

Under Rule 3(1)(b), Users must not host, upload, transmit, or share any content that: (i) is harmful, defamatory, obscene, or pornographic; (ii) promotes hate or discrimination; (iii) infringes Intellectual Property; (iv) violates any law; (v) deceives as to origin or impersonates another; (vi) threatens the unity, integrity, defence, or security of India; or (vii) facilitates gambling or money laundering.

15.2 Consumer Protection (E-Commerce) Rules, 2020

Users have the right to raise complaints with the Company's Grievance Officer and, if unresolved, before the appropriate Consumer Disputes Redressal Forum under the Consumer Protection Act, 2019.

15.3 Goods and Services Tax

The Company is registered under GST with GSTIN 09AALCD5776E1Z9. Applicable GST will be charged on Services and invoices issued in compliance with the GST Act.

15.4 Foreign Exchange Management Act, 1999

International Users shall ensure compliance with applicable FEMA provisions for cross-border payments. The Company shall comply with FEMA in respect of any foreign exchange received.

16. MISCELLANEOUS PROVISIONS

16.1 Entire Agreement. These Terms, together with the Privacy Policy and any service-specific agreements, constitute the entire agreement between you and the Company regarding the Platform.

16.2 Severability. If any provision is found invalid or unenforceable, the remaining provisions remain in full force and the invalid provision shall be replaced with a valid one most closely achieving the original intent.

16.3 Waiver. Failure to enforce any right shall not constitute a waiver of future enforcement.

16.4 Assignment. You may not assign rights or obligations without prior written consent. The Company may freely assign these Terms in connection with any merger, acquisition, or asset sale.

16.5 Force Majeure. The Company is not liable for failure or delay due to causes beyond its reasonable control including natural disasters, governmental acts, internet outages, or cyberattacks.

16.6 Language. These Terms are in English. In the event of conflict with any translation, the English version prevails.

16.7 Electronic Notices. Notices may be provided electronically to the registered email address or by posting on the Platform, constituting valid notice under the IT Act.

17. GRIEVANCE OFFICER AND CONTACT INFORMATION

In accordance with Rule 3(2) of the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021:
